Chapter I
Name, Location, Purpose, Duration and Fiscal Year
Article 1: The American Society of São Paulo (“American Society”) is a civil, non-profit association organized on May 10, 1950, with its Bylaws registered in the Second Civil Registry of Deeds and Documents, Book A, no. 3, under No. 1.617 on April 16, 1951.
Article 2: The registered office of the American Society will be in the city of São Paulo at Rua Antonio das Chagas, 990 - Chácara Santo Antonio – CEP 04717-004. The Board of Governors is empowered to change its registered office when deemed necessary or convenient.
Article 3: The purpose of the American Society is as follows:
a. To promote and maintain friendly relations between the United States of America and Brazil;
b. To provide for the celebration of days of remembrance traditional to United States citizens, such as Thanksgiving, Fourth of July and other holidays;
c. To receive and entertain officials and visitors from the United States;
d. To aid and assist newly arrived United States citizens by providing information which helps orient them in their new surroundings;
e. To promote charitable, social, cultural, and athletic activities of interest to the United States community in São Paulo.
f. To provide emergency aid to United States citizens who become destitute in Brazil, based on a resolution of the Board of Governors.
Article 4: The American Society shall not distribute earnings nor afford to its members or Governors any advantage of an economic or financial nature.
Article 5: All resources, income, and benefits of an economic or financial nature realized by the American Society shall be applied to achieve and fulfill the Society’s purposes.
Article 6: The American Society is prohibited from engaging in any activities affecting or connected with Brazilian politics. Any activities with regard to American politics shall be nonpartisan. The American Society shall also not engage in any religious activities, except those of a strictly ecumenical nature.
Article 7: The period of duration of the Society shall be indeterminate.
Article 8: The fiscal year shall end on December 31 of each year.
